Please read these Terms and Conditions carefully before using the eCom2Win website or engaging our services. By accessing our website or entering into a service agreement with us, you agree to be bound by these terms.
eCom2Win is an email and SMS marketing agency that provides retention marketing services to eCommerce businesses. References to "eCom2Win," "we," "us," or "our" in these Terms refer to eCom2Win and its team members. References to "you" or "the client" refer to the individual or business engaging our services.
eCom2Win provides email marketing strategy, SMS marketing, Klaviyo and Omnisend setup and management, email design, list growth, and related retention marketing services. The specific scope of services, deliverables, timelines, and fees will be set out in a separate Service Agreement or Statement of Work (SOW) agreed between the parties.
We reserve the right to decline any project or client engagement at our sole discretion.
Payment terms are as set out in your individual Service Agreement. Unless otherwise agreed in writing, invoices are due within 7 days of issue. Late payments may result in suspension of services.
All fees are exclusive of applicable taxes unless stated otherwise. eCom2Win reserves the right to update its pricing with reasonable notice.
Upon receipt of full payment, all deliverables created specifically for you under a Service Agreement (including email templates, copy, and campaign assets) become your property.
eCom2Win retains ownership of all pre-existing intellectual property, methodologies, frameworks, and tools used in delivering services. We reserve the right to showcase work completed for you in our portfolio and marketing materials unless you request otherwise in writing.
You agree to provide eCom2Win with timely access to necessary accounts (e.g., Klaviyo, Shopify, Omnisend), brand assets, and feedback required to deliver the agreed services. Delays caused by the client's failure to provide required materials may affect timelines and are not the responsibility of eCom2Win.
You are responsible for ensuring that all content, data, and materials you provide to us comply with applicable laws, including data protection and email marketing regulations (e.g., CAN-SPAM, GDPR, CASL).
While eCom2Win has a strong track record of generating significant revenue for clients, we do not guarantee specific results. Revenue outcomes depend on many factors outside our control, including your product quality, market conditions, website conversion rate, and audience size. Case studies and testimonials on our website represent past results and are not a guarantee of future performance.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives termination of the service agreement.
Either party may terminate a Service Agreement in accordance with the notice period specified in that agreement. Upon termination, you remain liable for all fees for work completed up to the termination date.
eCom2Win reserves the right to terminate services immediately in the event of non-payment, breach of these Terms, or conduct that is harmful to our business or team.
To the maximum extent permitted by law, eCom2Win's total liability to you for any claim arising out of or in connection with our services shall not exceed the total fees paid by you in the three months preceding the claim. We are not liable for any indirect, consequential, or loss-of-profit damages.
These Terms are governed by applicable law. Any disputes shall be resolved in good faith between the parties. If resolution cannot be reached, disputes may be referred to mediation or arbitration before any legal proceedings are commenced.
We may update these Terms from time to time. The most current version will always be available on our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
